The Role: Venture Capital & Emerging Companies Attorney | New York, NY

We are seeking an experienced and driven Venture Capital & Emerging Companies Attorney to join the corporate practice in New York. This role offers the opportunity to work with emerging companies and investors, shaping the future of the venture capital and startup ecosystem.

In This Position, You Will:

• Draft and negotiate venture capital investment agreements, including NVCA forms.
• Lead negotiations of key terms for all venture capital investment agreements.
• Supervise, mentor, and train associates in all aspects of venture capital financing.
• Advise emerging companies on operational matters such as board and stockholder communications, equity awards, and compliance.
• Support clients through the entire lifecycle of their business, from formation to successful funding rounds.

Ideal Candidate Profile

Experience and Expertise

• 4+ years of experience in venture capital and emerging company practices.
• Proficiency in using Excel for capitalization tables and financial tracking.
• Experience working with startups and early-stage companies.

Educational Credentials

• Juris Doctor (JD) or LLM from an ABA-accredited law school.
• Admission or eligibility for admission to the New York Bar.

• Legal Acumen: Strong skills in legal research, drafting, analytical reasoning, and negotiation.
• Strategic Thinking: Ability to guide clients through complex transactions with innovative solutions.
