The Role: Lateral Associate - Corporate - Project Finance/Infrastructure | New York, NY

We are seeking an experienced associate to join a prestigious project finance and infrastructure team in New York, NY. This role offers the opportunity to work on sophisticated transactions in the public-private partnership (PPP) space and collaborate with industry leaders on impactful infrastructure projects.

Practice Expertise and Focus

This opportunity is with a globally recognized firm known for its exceptional project finance and infrastructure practice. The firms expertise includes:

  • PPP Transactions: Structuring, negotiating, and executing concession agreements, long-term lease agreements, and comprehensive agreements.
  • Design and Construction Expertise: Drafting and negotiating related design, construction, interface, operations, and maintenance agreements.
  • Financing Mastery: Secured financings, including credit agreements, pledge agreements, security agreements, and collateral agency agreements.
  • Bond Transactions: Handling bond purchase agreements, drafting disclosure documents, and negotiating indentures for major infrastructure projects.

In this position, you will:

  • Lead Negotiations: Represent clients in structuring and negotiating concession agreements, lease agreements, and comprehensive agreements in the PPP space.
  • Draft Key Agreements: Prepare design, construction, operations, and maintenance agreements essential to large-scale infrastructure projects.
  • Manage Secured Financings: Negotiate credit agreements, pledge agreements, and security agreements to secure critical funding.
  • Support Bond Transactions: Draft and review bond purchase agreements, indentures, and disclosure documents for public and private sector projects.
  • Collaborate with Leaders: Work closely with clients, stakeholders, and multidisciplinary teams to deliver innovative legal solutions for complex infrastructure projects.

Ideal Candidate Profile

We are looking for candidates who bring the following qualifications and attributes:

Experience and Expertise

  • Experience Level: 47 years of experience in project finance and infrastructure work, with law school graduation years from 2017 to 2020 (but open to all levels).
  • Technical Expertise: Deep experience with secured financings, bond transactions, and PPP agreements.

Educational Credentials

  • Juris Doctor (JD): Degree from a top-tier, accredited law school with excellent academic performance.
  • Bar Admission: Active membership in good standing or eligibility to waive into the New York Bar.

Core Competencies

  • Legal Acumen: Strong skills in drafting, negotiating, and managing complex transactional agreements.
  • Strategic Thinking: Ability to deliver innovative legal strategies for infrastructure and project finance matters.
  • Collaboration and Leadership: Proven capacity to work in cross-functional teams and mentor junior associates.
